About the job

Company:

Marsh Corporate

Description:

We are seeking a highly skilled M&A Integration Specialist to join our Controllership team at Marsh. This role will be based in Mumbai – Hiranandani office. This is a hybrid role that has a requirement of working at least three days a week in the office.

Associate Director - M&A Legal Entity Integrations

The successful candidate will be responsible for defining and executing the strategy for legal entity integration, consolidation, and disposition activities across the enterprise. This role ensures that legal entity structures are optimized, aligned with regulatory, tax, operational, and financial reporting requirements, and effectively integrated into the broader controllership and enterprise governance framework.

The role serves as the enterprise owner of legal entity lifecycle management, including integration, elimination, simplification, and wind-down strategies. It works in close partnership with the Tax, Treasury, Legal, Controllership and Business to ensure seamless execution of cross-business entity transactions.

In addition, this role is accountable for shaping and overseeing complex, senior executive–sponsored legal entity restructuring initiatives, including enterprise-wide legal entity rationalization, operating model transformations, and multi-jurisdictional simplification programs.

Finally, this role is responsible for evaluating, creating and implementing key M&A accounting and integration processes, including dispositions, purchase accounting, valuations and earnouts.

This role requires a deep understanding of accounting principles, exceptional project management skills, and the ability to collaborate effectively with various stakeholders and cross-functional teams.

We will count on you to:

Legal Entity Integration Strategy
Define and maintain the enterprise-wide strategy for legal entity integration, simplification, and rationalization across acquisitions, divestitures, and internal reorganizations.
Establish guiding principles for legal entity structure optimization, aligned with regulatory, tax, operational, treasury, and financial reporting requirements.
Partner with senior leadership to ensure legal entity architecture supports long-term business strategy, capital efficiency, and governance standards.
Execution of Entity Integrations, Dispositions, and Eliminations
Lead end-to-end execution oversight of legal entity integrations, mergers, dissolutions, wind-downs, and dispositions.
Oversee planning and execution of entity eliminations, including statutory closure processes, accounting close activities, and regulatory filings.
Coordinate across Tax, Treasury, Legal, HR, and Controllership to ensure all entity lifecycle activities are executed accurately and on time.
Ensure appropriate accounting treatment and financial statement impacts are understood and executed correctly (including consolidation, eliminations, and intercompany resolution).
Senior Executive–Sponsored Restructuring Programs
Own the controllership execution framework for complex restructuring initiatives sponsored by Senior Executives (e.g., CFO, Controller, Group Finance leadership, and other enterprise sponsors).
Translate executive-driven restructuring objectives into structured legal entity transformation roadmaps, including sequencing, governance, and execution dependencies.
Oversee large-scale, multi-jurisdictional legal entity rationalization programs involving multiple business units and regulatory environments.
Ensure disciplined execution of high-visibility transformation initiatives with strong governance, auditability, and risk management.
Act as a key advisor to senior leadership on feasibility, sequencing, and execution risks associated with legal entity restructuring decisions.
Cross-Business Integration Execution
Partner with M&A and transformation Project Managers to execute cross-business legal entity integration plans.
Translate integration strategy into detailed execution plans, milestones, and workstreams aligned with broader program timelines.
Ensure dependencies across finance, systems, operations, tax, and governance functions are actively managed.
Serve as escalation point for entity-level execution risks and structural integration challenges.
Governance, Controls, and Risk Management
Establish governance frameworks for legal entity lifecycle decisions, including approval structures and documentation standards.
Ensure compliance with internal controls, statutory requirements, and audit expectations.
Maintain robust audit trails for all entity integration, elimination, and restructuring activities.
Oversee risk identification and mitigation across legal entity transformation programs.
Financial and Accounting Coordination
Partner with Controllership and Technical Accounting teams to ensure accurate treatment of entity mergers, consolidations, eliminations, and dispositions under applicable GAAP frameworks.
Support resolution of accounting issues arising from differences between local statutory reporting and US GAAP (or other applicable standards).
Ensure alignment of entity-level close processes during integration and restructuring events.
Stakeholder Leadership and Influence
Act as a central coordination point across Tax, Treasury, Legal, Controllership, and external advisors.
Communicate progress, risks, and decisions to senior executive stakeholders and governance forums.
Influence cross-functional teams without direct authority to ensure timely and accurate execution of complex programs.
Process Improvement
Continuously evaluate and improve integration processes to enhance efficiency and effectiveness, including use of Artificial Intelligence
Implement best practices and standard operating procedures for legal entity integration and M&A accounting.
Define the purchase accounting process for all acquisitions, including the identification and valuation of acquired assets and liabilities.
