Core Responsibilities

IPO

Management

Manage

SME or Mainboard IPO process including but not limited to compliance with

regulatory requirements and coordination with legal, financial, banking

and RTA and other ancillary entities.

Collaborate

with stakeholders to ensure timely submission of all documents and

adherence to guidelines by regulatory authorities, such as SEBI.

Oversee

due diligence, listing process and documentation to facilitate a

successful IPO launch.

Compile

and manage virtual data rooms (VDR) with historical, legal, and

secretarial records.

Drafting

& Documentation

Prepare

and vet disclosures for the Draft Red Herring Prospectus ( DRHP ),

Red Herring Prospectus ( RHP ), and final Prospectus from a

governance standpoint.

Draft

and implement mandatory pre-listing and post-listing corporate governance

policies (Insider Trading Code, Code of Conduct, Risk Management,

Whistleblower, and Related Party Transactions).

Board

& Stakeholder Coordination

Facilitate

Board, Committee, and General meetings, drafting agendas, notices, and

statutory minutes.

Coordinate

multi-party execution with merchant bankers, legal counsels, Registrars

and Transfer Agents ( RTAs ), stock exchanges, and depositories

(NSDL/CDSL).

Regulatory

Compliance, Filings & Post Listing Compliance

Ensure

full adherence to the Companies Act 2013 , SEBI (ICDR &

LODR) Regulations , and SME exchange bylaws.

Handle

ROC/MCA filings, share allotments, conversion of warrants/preference

shares, and statutory registers.

Manage continuous disclosures, stock exchange

filings, investor relations, and board communication post-listing.

Requirements

Qualifications & Requirements

Education: Qualified Company Secretary ( ACS ) holding a valid membership number

from the Institute of Company Secretaries of India (ICSI) ; bachelor’s

degree in law (LL.B.) or Commerce will be preferred.

Experience: Minimum of 1 year of PQE with demonstrated hands-on involvement in an SME

or mainboard IPO process.

Technical

Knowledge: Working knowledge of SEBI IPO

regulations, company law, listing obligations, and stock exchange

compliances.

Skills: High attention to detail, stakeholder management, deadline-driven

execution, and strong communication/advisory skills.
